Embargo Area Terms & Conditions

Introduction

These terms and conditions (“Terms”) are entered into by you (“You” or “Your”) and Taylor & Francis (a trading division of Informa UK Limited), a company registered in England and Wales with company number 01072954 whose registered office is at 5 Howick Place, London, SW1P 1WG (“T&F”).

T&F provides an online embargoed press release area, which can only be accessed via a login, hosting unpublished press releases and PDFs of books for credentialed journalists (“Embargo Area”). Subscription to the Embargo Area is subject to the Terms set forth herein. By completing and submitting the sign-up form, You hereby agree to these terms and conditions.

Subscribers

The Embargo Area is only available to journalists, editors, freelancers and bloggers from recognised news or media outlets or that can show evidence of recent published articles (each a “Journalist”). T&F shall verify this before access is granted to the Embargo Area.

By completing and submitting the sign-up form to T&F, You warrant that You are a Journalist and are not a paid employee of a PR organisation or have a similar conflict of interest. Upon receipt of Your completed sign up form, T&F shall, in its sole discretion, determine whether You qualify as a Journalist and are thus eligible to gain access to the Embargo Area. T&F may request additional information from You to verify whether You are a Journalist. T&F’s decision shall be final and no additional correspondence will be entered into.

You agree that this subscription to the Embargo Area is confidential and personal to You. You shall not, as a principal obligation, disclose or forward any information found from the Embargo Area. You must notify T&F immediately of any unauthorised sharing or forwarding of the Embargo Area information or of any breach of security regarding the Embargo Area that comes to Your attention.

T&F may terminate and discontinue your account with the Embargo Area at any time if in T&F’s opinion, You have failed to comply with these Terms.

Embargo Area

The Embargo Area is accessible by T&F as a free resource. All press campaigns and book PDFs in the Embargo Area are provided on an “as is” and “as available” basis and T&F accepts no liability for any loss or damage whatsoever sustained by You as a result of using or relying on the Embargo Area.

The Embargo Area is protected by international copyright laws, database rights, and other intellectual property rights. T&F, its affiliates or its licensees are the owners of these rights.

All product, company and institutional names and logos which may be contained within the Embargo Area are the trademarks, service marks or trading names of their respective owners. All rights not specifically granted to You under these Terms are reserved.

You are responsible for ensuring that Your IT system meets all relevant technical specifications necessary to access the Embargo Area. T&F does not warrant that any links in the Embargo Area will be free from viruses and/or other code that has contaminating or destructive properties, and not liable for any harm caused.

The Embargo Area contain press releases and PDFs of books (“Embargoed Materials”) with embargo dates which are set by publishing schedules or other schedules. By submitting the sign up form, You agree that during this embargo period, You shall: (i) keep the information confidential; (ii) not make any commercial use of the information in the Embargo Area or use for the benefit of Yourself or any third party; (iii) not disclose, without T&F’s prior written consent, the existence of the Embargo Area; and/or (iv) not copy, reproduce, summarise or reduce to writing any part of the Embargoed Materials in the Embargo Area. You shall ensure that any news item You produce using the Embargoed Materials from the Embargo Area, shall not be published before the release date specified. If You require any more information, regarding how to the Embargoed Materials from the Embargo Area please email newsroom@taylorandfrancis.com.  T&F will treat any breach or alleged breach of this provision on embargo deadlines very seriously.

T&F reserves the right, at any time, to withdraw all or part of the Embargo Area at any time, at its sole discretion. You may delete your account for the Embargo Area from at any time by emailing newsroom@taylorandfrancis.com.

Indemnification & liability

You agree to indemnify and hold T&F harmless from any claim or demand, including reasonable legal fees made by any third party as a result of any infringement of T&F or any third party’s rights (including intellectual property rights) arising from Your use and/or misuse of the Embargoed Materials and any breach of these Terms by You.

The Embargo Area is provided “as is”, without any conditions, warranties or other terms of any kind. Nothing in these terms of use excludes or limits T&F’s liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

To the extent permitted by law, T&F exclude all conditions, warranties, representations or other terms which may apply to the Embargo Area or Embargoed Materials, whether express or implied.

T&F will not be liable to any You for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • use of, or inability to use, the Embargo Area; or
  • use of or reliance on any content in the Embargo area
  • T&F will not be liable for:
    • loss of profits, sales, business, or revenue;
    • business interruptions;
    • loss of anticipated savings;
    • loss of business opportunity, goodwill or reputation; or
    • any indirect or consequential loss or damage.

T&F will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect Your computer equipment, computer programs, data or other proprietary material due to Your use of the Embargo Area, or on any website linked to it.

To the extent permitted by law, if T&F is liable to You under these Terms for any reason, T&F’s liability shall be limited to £100.

Data protection

T&F may collect personal information from You, such as full name, country, job title, occupation, company information, e-mail address and telephone number. T&F only collect information of those who communicate with us via e-mail and have an account with the Embargo Area. If at any stage You want us to delete the account please contact T&F in the way described in our communications to You and You will be unsubscribed from the Press Alerts Service.

Any personal data (as defined in the Data Protection Act 1998) belonging to You which is shared with T&F shall be held and used by T&F in accordance with all applicable laws (including, without limitation to, the Data Protection Act 1998). Jurisdiction

You agree that the courts of England shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms or their formation. For these purposes each party irrevocably submits to the jurisdiction of the courts of England.

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of England.

T&F make no warranty or guarantee that the Embargo Area complies with laws other than those of England.

You accept that these Terms represent the entire understanding between You and T&F concerning the Embargo Area.
